3rd March 2021. That’s when Luminis International B.V. and Technology In Business B.V. announced that Motorsport Games had acquired its Studio 397 subsidiary.
Yet, while terms were agreed for the Dutch sim racing development team to do under the wings of the Miami-headquartered publisher, the complete payment was deferred. Then deferred some more.
Motorsport Games’ financial challenges are well documented in the intervening years, so while it owned Studio 397 and its proprietary (isiMotor 2.5) technology powering rFactor 2 and Le Mans Ultimate, it didn’t actually until these payments were completed.
In February 2025, around one year since Le Mans Ultimate by Studio 397 was released into early access, its new (ish) parent company finally had just enough cash flow to start paying off the outstanding bill. It struck a payment plan with Luminis consisting of five instalments, totalling $750,000.
On its recent Q2 2025 earnings call, Motorsport Games CEO Stephen Hood confirmed that these payments were now completed, concluding a deal over four years in the making:
“In early July, we settled the remaining balance of the Studio [397] purchase.
“With this, the company now has full and complete ownership over the technology and intellectual property.
“There will be no further payments related to its purchase, bringing that cash flow. We are now empowered to continue leveraging the technology that underpins rFactor 2, F1 Arcade and now Le Mans Ultimate, knowing it is under MSGM control.”

In Q2 2025, Motorsport Games reported net income (profit) of $4.3 million, compared to $2.1 million in Q2 2024. European Le Mans Series content is expected to begin rolling out in September for Le Mans Ultimate, ahead of a single-player career mode and console versions.
